1. Introduction

Terms and Conditions for Content Submission and Platform Use
FH Cinema (F Harmthon Production Sdn Bhd)

These Terms and Conditions (“Terms”) govern the use of the website and services provided by FH Cinema, a digital content distribution platform operated by F Harmthon Production Sdn Bhd (“FH Cinema”, “we”, “us”) through the website fhcinema.com.my (“Website”).

FH Cinema serves as a platform for the digital distribution and exhibition of creative works, including films, videos, documentaries, and music content, to a global audience.

By accessing, using this Website, or submitting any content to FH Cinema, you (“User” or “Publisher”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you are advised not to use our services.

These Terms are governed by and construed in accordance with the laws of Malaysia, including but not limited to the Electronic Commerce Act 2006 (Act 658), the Consumer Protection Act 1999 (Act 599), and the Communications and Multimedia Act 1998 (Act 588).

2. Definitions

"Content" refers to all films, videos, music, documentaries, and other audiovisual materials made available on the Website, whether provided by FH Cinema or submitted by third-party publishers.

"User" refers to any individual who accesses, browses, or uses the Website and its Services.

"Publisher" refers to any individual or entity that submits or provides Content to FH Cinema for distribution or exhibition on the Website.

"Account" refers to a registered user account created to access certain features of the Website.

"Membership" refers to a paid subscription plan offered by FH Cinema that provides access to specific features, benefits, or Content under defined terms.

"Services" refers to all services provided by FH Cinema, including but not limited to content streaming, digital purchases, subscription access, and related platform features.

"View" refers to a valid content access recorded when a User selects and assigns a Content into an available viewing slot within their Membership plan.

Each slot assignment is counted as one (1) View, regardless of how many times the Content is watched within that same slot. Repeated playback of the same Content within a single slot shall not generate additional Views.

If a User assigns the same Content into multiple slots, each slot assignment shall be counted as a separate View.

FH Cinema reserves the right to determine and verify the validity of Views based on system records and to prevent any manipulation or abuse of the viewing system.

3. Eligibility

To access and use the Services provided by FH Cinema, you must meet the following eligibility requirements:

You must be at least 18 years of age, or have obtained valid consent from a parent or legal guardian.
You must have the legal capacity to enter into binding agreements under the Contracts Act 1950 (Malaysia).
You agree to provide accurate, complete, and up-to-date information during registration and use of the Website.

In accordance with the Child Act 2001 (Malaysia), certain Content available on the Website may be subject to age restrictions. Parents or legal guardians are responsible for supervising and monitoring the use of the Services by individuals under their care.

FH Cinema reserves the right to restrict, suspend, or terminate access to the Services if any User is found to be in violation of these eligibility requirements.

4. Account and Submission Access

Content may be submitted to FH Cinema with or without a registered Account.
However, a valid registered Account is required for the approval, publication, and monetization of any submitted Content.
Content submitted to FH Cinema may be subject to review and approval prior to publication.
The Publisher is responsible for ensuring that all information provided is accurate, complete, and up to date.
Content must meet minimum quality standards, including clear audio, acceptable video resolution, and compliance with applicable laws.
FH Cinema may provide reporting data to the Publisher, including total Views and estimated earnings, based on system records.
FH Cinema reserves the right to reject, suspend, or remove any Content or Account that is found to contain false, misleading, or incomplete information, or that violates these Terms.

5. Revenue Sharing

1. Revenue Sharing Structure

For Content made available on FH Cinema through direct purchase, sponsored tickets, or similar paid access methods, revenue shall be distributed as follows:

- 60% to the Publisher
- 40% to FH Cinema

This distribution is subject to applicable transaction fees, payment gateway charges, and taxes (if applicable).

2. Membership-Based Viewing Payment

For Content accessed through Membership plans, royalty payments to the Publisher shall be calculated based on the duration of the Content as follows:

- 10 – 15 minutes → RM0.05 per View
- 16 – 30 minutes → RM0.10 per View
- 31 – 59 minutes → RM0.20 per View
- 60 minutes and above → RM0.30 per View

The maximum payout rate shall be RM0.30 per View, regardless of Content duration exceeding 60 minutes.

3. Definition of View

“View” shall have the meaning as defined in the Definitions section.

Each viewing slot assigned to a Content shall be counted as one (1) View.

4. Minimum Eligibility for Royalty

The Publisher shall only be eligible to receive royalty payments once the Content has achieved a minimum of 300 valid Views, as recorded and verified by the FH Cinema system.

FH Cinema reserves the right to assess the validity of Views and to exclude any Views deemed invalid, abnormal, or manipulated.

5. Royalty Payment Terms

Royalty payments shall be subject to the following conditions:

- Payments will be processed every two (2) weeks
- The minimum payout threshold is RM100
- Payments shall be made via bank transfer or other payment methods as determined by FH Cinema

FH Cinema reserves the right to delay, withhold, or adjust payments in cases of suspected fraudulent activity or breach of these Terms.

6. Rights of FH Cinema

FH Cinema reserves the right to:

- Determine the classification of Content based on its duration, structure, and overall quality
- Verify and validate all Views recorded within the system
- Exclude or adjust any Views deemed invalid or manipulated
- Modify the royalty structure, payout rates, or eligibility requirements at any time with reasonable notice

7. Intellectual Property Rights

The Publisher represents and warrants that they are the rightful owner of, or have obtained all necessary rights, licences, and permissions to submit the Content to FH Cinema.
The Publisher grants FH Cinema a non-exclusive, worldwide licence to host, display, distribute, and promote the Content on the FH Cinema platform.
The Publisher retains full ownership of the Content at all times.
The Publisher shall be solely responsible for any claims arising from copyright infringement or unauthorized use of third-party materials within the Content.

12. Indemnification

You agree to indemnify and hold harmless FH Cinema, its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your breach of these Terms
Your misuse of the Services
Your violation of any applicable laws or third-party rights

13. Termination

FH Cinema reserves the right to reject, suspend, or remove any submitted Content at its sole discretion, including but not limited to Content that:

Violates these Terms
Infringes any intellectual property rights
Contains unlawful, misleading, or inappropriate material

FH Cinema may also suspend or terminate the Publisher’s access to the platform if there is a breach of these Terms.

Any provisions of these Terms which by their nature should survive termination shall remain in full force and effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sabah, Malaysia.

16. Dispute Resolution

In accordance with the Consumer Protection Act 1999 (Malaysia), any disputes arising from the use of the Services shall first be resolved through amicable means, including:

Direct negotiation between the parties
Filing a claim with the Tribunal for Consumer Claims Malaysia (TTPM) for claims not exceeding RM50,000

If the dispute cannot be resolved through the above methods, it may be referred to arbitration or the courts of competent jurisdiction.

17. Amendment of Terms

FH Cinema reserves the right to modify or update these Terms at any time.
Any material changes will be communicated via the Website or through registered email. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
